This Purchase Order is an offer by Rotella’s Italian Bakery, Inc. (“Rotella’s”) that is expressly limited to and conditioned upon Seller’s acceptance of Rotella’s Standard Terms and Conditions of Purchase (the “Purchase Terms”), which are available at
Purchase Terms and are incorporated into this Purchase Order by reference. A copy of the applicable Purchase Terms will be provided upon request.
Seller accepts this Purchase Order and agrees to be bound by the Purchase Terms by acknowledging this Purchase Order, commencing performance, shipping any goods, or accepting any payment, whichever occurs first. Rotella’s objects to and rejects any additional or different terms proposed by Seller in any quotation, order acknowledgment, invoice, or other document; no such terms will apply unless expressly agreed to in writing signed by Rotella’s.
In the event of any conflict, the Purchase Terms available at the link referenced above, Rotella’s Purchase Terms, will control.
